{"id":3910,"date":"2025-09-12T15:12:47","date_gmt":"2025-09-12T15:12:47","guid":{"rendered":"https:\/\/somagoldcorp.com\/?p=3910"},"modified":"2026-03-11T15:40:28","modified_gmt":"2026-03-11T15:40:28","slug":"soma-enters-into-definitive-agreement-to-purchase-royalty-on-el-limon-mine","status":"publish","type":"post","link":"https:\/\/somagoldcorp.com\/es-co\/2025-es-co\/soma-enters-into-definitive-agreement-to-purchase-royalty-on-el-limon-mine\/","title":{"rendered":"Soma Enters Into Definitive Agreement to Repurchase Royalty on El Lim\u00f3n Mine"},"content":{"rendered":"<p><strong>September 12, 2025, Vancouver, British Columbia \u2013 Soma Gold Corp.<\/strong> (TSXV: SOMA) (WKN: A2P4DU) (OTC: SMAGF) (\u201c<strong>Soma<\/strong>&#8221; or the &#8220;<strong>Company\u201d<\/strong>) is pleased to announce that it has executed a definitive agreement with Red Rock Resources PLC (\u201c<strong>Red Rock<\/strong>\u201d) to acquire, in full, the net smelter returns royalty (the \u201c<strong>Royalty<\/strong>\u201d) that has encumbered the El Lim\u00f3n gold mine since the property was originally purchased by its wholly owned subsidiary, Colombia Milling Limited, in 2015.<\/p>\n<p>Under the terms of the original purchase agreement, Red Rock retained a three per cent net smelter returns royalty on production revenue from El Lim\u00f3n up to a maximum of C$2,768,000 (US$2,000,000), followed by a one-half per cent royalty on production revenue thereafter to a maximum of C$1,384,000 (US$1,000,000). To enhance the long-term economic profile of the operation, the parties have agreed that Soma Gold will purchase and extinguish the Royalty for total consideration of C$1,876,000 (\u00a31,000,000) in cash, together with the issuance to Red Rock of 200,000 common share purchase warrants of Soma (the \u201c<strong>Warrants<\/strong>\u201d). Each Warrant will entitle the holder to acquire one common share of the Company at an exercise price of C$2.00 for a period of three years from the date of issue. Completion of the transaction and the issuance of the warrants remain subject to the approval of the TSX Venture Exchange.<\/p>\n<p>\u201cThe elimination of the Royalty is expected to have an immediate positive impact on operating margins once the El Lim\u00f3n plant resumes production.
